NewSpring Holdings’ Sentinel Merges With E3 Federal Solutions, Eyes More Mergers Ahead

The Sentinel Company, a D.C.-based government services and solutions provider and a NewSpring Holdings platform company, today announced it has merged with E3 Federal Solutions, an award-winning McLean, Va.-based management consulting firm and NewSpring Holdings platform company. The combined companies will be headquartered in McLean, employ approximately 700 employees and offer mission consulting, information technology, program management, systems engineering and technical services.

NewSpring Holdings manages $1.7 billion with dozens of company partners, and acquired Sentinel in September to establish its government services platform. At the time, it was NewSprings’ fourth acquisition in four years, and the company is banking on this merger to strengthen its standing in the federal sector.

“NewSpring’s commitment to the federal sector and specifically, to serving the national security and intelligence community, is strengthened with this anchor acquisition,” said Lee Garber, Principal at NewSpring Holdings. “We expect other acquisitions to continue to round out our solutions and services offering in the near future.”

E3/Sentinel supports several domains including intelligence, national security, the Department of Homeland Security and Department of Defense.

Same Mission, Bigger Team

“The federal market continues to evolve and change, which requires an innovative and entrepreneurial company,” said E3/Sentinel CEO Andy Maner, who was previously the chief executive of Sentinel. “As a combined entity, we will provide a mission-focused blend of services with solutions delivered by educated, cleared, and developed professionals who have access and understanding of solutions. The market is demanding mid-sized companies that can develop solutions and people for the fast-moving “next waves” of missions and requirements. To succeed in this environment, we will continuously reexamine the teams and partnerships that foster this unique ability to succeed and grow. The combination of E3 and Sentinel, backed by the efficient and effective capital of NewSpring Holdings, provide a formidable team to grow in this market. We’ll be unconstrained by small business in terms of investment and client reach, and we will be viewed by other primes and customers as muscular and nimble.”

Sentinel provides its national security customers a broad range of mission and advisory services as
well as technology-enabled solutions in subjects including intelligence, counter-terrorism, counter-narcotics, border security, and international trade and travel. Sentinel’s industry expertise, leadership experience, and familiarity with government agency operations allow it to make recommendations that can be successfully implemented in the public sector. The Sentinel team’s expertise and mission focus have allowed them to achieve real wins for customers, making Sentinel a trusted name in national security.

Everett Johnson will continue as President of E3 Federal Solutions, guiding day-to-day operations. He said that the balance of E3/Sentinel’s current structure, leadership and plans remain consistent, and that the company need a number of things to grow to the next level.

“First, E3 has experienced tremendous success growing 100% organically since its inception,” Johnson said. “But, to continue that growth, E3 needed to explore inorganic growth opportunities through M&A and that required capital backing.  Additionally, E3’s services and solutions had to move away from only professional services to a mix of professional services and technical solutions. Because of E3’s success and reputation, I fielded numerous calls and meetings over the past year with interested buyers. It wasn’t until he met Andy Maner at an industry event that he felt completely comfortable about the culture match. By combining with Sentinel and backed by NewSpring, E3 now has the firepower as well as the perfect culture fit that will help us get to the next level.”

E3 Federal Solutions is a Washington Business Journal Best Places to Work awardee, a five-time Virginia Chamber of Commerce Fantastic 50 honoree, a six-time Inc. 5000 honoree, and a three-time Washington Technology FAST 50 honoree. E3’s program management and service delivery practices are appraised at CMMI® Services maturity level 3, with quality and environmental management systems that are ISO 9001:2015 and 14001:2015 certified.

Maner said that both companies share a common culture and desire to make mission impact.

“We all strongly believe that we will be stronger together because of our shared values missions and customer experiences,” Maner said. “Culture will never be formed on a piece of paper; it will be formed on what we do together and how we become more focused on mission outcomes. Both E3 and Sentinel have been around for more than a decade each, and because we have achieved significant learnings and success in leading our efforts, we will all benefit from this shared experience.”

Johnson said that the new company will scale into a clients’ environment and create more technical solutions.

“We will manage overall business execution, growth/business development priorities, retention and recruitment priorities, benefits and professional development, and innovations and solutions strategies. Moving forward, our employees will be active participants – not spectators – on the future planning and growth of the business,” Johnson said.
