Leidos Clears Regulatory Hurdle in Bid to Complete Lockheed Deal

Leidos Holdings, Inc. ("Leidos") today announced the expiration of the waiting period mandated for United States government antitrust review of proposed transactions under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 ("HSR Act") in connection with the previously announced combination of Leidos with Lockheed Martin’s realigned Information Systems & Global Solutions business (IS&GS) in a Reverse Morris Trust transaction.

Expiration ofthe waiting period under the HSR Act satisfies one of the conditions necessary for the combination. The proposed transaction remains subject to approval by the shareholders of Leidos, as well as certain other regulatory approvals and customary closing conditions.
